1. Acceptance of Terms

By accessing or using Segal Sign ("the Service"), operated by Segal Technology ("we", "us", or "our"), you agree to be bound by these Terms of Use ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and references to "you" include that organization.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service after any changes to these Terms constitutes acceptance of those changes.

2. Description of Service

Segal Sign is an electronic document signing platform that enables users to upload documents, place signature and form fields, invite signers, and collect legally binding electronic signatures. The Service includes document management, audit trail generation, team collaboration tools, and related features as described on our pricing page.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice. We will endeavor to provide advance notice of significant changes that affect paid subscribers.

3. Account Registration and Security

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access at [email protected]

You may not share your account credentials with third parties or allow unauthorized persons to access your account. We are not liable for any loss or damage arising from unauthorized use of your account where you have not taken reasonable steps to protect your credentials.

You must be at least 18 years of age to create an account. By creating an account, you represent that you meet this requirement.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes. You must not use the Service to:

  • Forge signatures or impersonate any person or entity
  • Upload documents that are fraudulent, illegal, or designed to deceive
  • Violate any applicable laws or regulations, including privacy laws
  • Transmit spam, unsolicited communications, or malicious software
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to any portion of the Service or its related systems
  • Collect personal information of other users without their express consent
  • Use the Service for mass unsolicited signature collection
  • Reverse engineer, decompile, or create derivative works of the Service

We reserve the right to suspend or terminate accounts that violate this policy without notice and to report illegal activity to appropriate authorities.

5. Electronic Signature Validity

Electronic signatures created through Segal Sign are intended to be legally binding where permitted by applicable law. Our Service supports compliance with:

  • Canada: The Personal Information Protection and Electronic Documents Act (PIPEDA) and provincial electronic commerce and signature laws, including Alberta's Electronic Transactions Act (ETA)
  • United States: The Electronic Signatures in Global and National Commerce Act (ESIGN Act) and the Uniform Electronic Transactions Act (UETA)

You are responsible for determining whether electronic signatures are valid and enforceable for your specific use case, jurisdiction, and document type. Certain document categories (such as wills, notarized documents, court orders, and some real estate transactions) may have specific requirements. We recommend consulting with a qualified legal professional for high-stakes or regulated document types.

Note: Electronic signatures created through Segal Sign are not valid for the following document types, which require wet ink or notarization under applicable law: wills and testamentary documents, notarized deeds, property transfer documents requiring notarization, and government-mandated filings that explicitly require original signatures. Do not use Segal Sign for these document categories.

Each signing event is recorded with a timestamp, IP address, and audit trail that can serve as evidence of intent to sign.

6. Subscription and Billing

Currency: All prices are in Canadian dollars (CAD) unless otherwise stated.

Billing cycles: Subscriptions are billed monthly or annually in advance. Annual subscriptions offer a discounted rate compared to monthly billing.

Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will receive a receipt by email upon each renewal.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Cancellations take effect at the end of the current billing period. No refunds are issued for partial periods except where required by applicable law.

Failed payments: If payment fails, we will attempt to collect payment again. If payment remains outstanding, we may downgrade your account to the Free plan and restrict access to paid features. Your data will be retained for at least 30 days following downgrade.

Plan changes: Upgrades take effect immediately. Downgrades take effect at the end of the current billing period. We do not provide prorated refunds for mid-period downgrades.

Taxes: Prices do not include applicable taxes. Applicable GST/HST or other taxes will be added to your invoice as required by law.

7. Free Trial and Promotional Offers

We may offer free trial periods or promotional pricing from time to time. Unless otherwise stated, promotional offers are limited to new accounts, apply to the first billing period only, and may be withdrawn at any time. We reserve the right to limit the number of free trials per person, email address, or household.

The Free plan is available indefinitely with the limitations described on our pricing page. No credit card is required for the Free plan.

8. Intellectual Property

Your documents: You retain full ownership of all documents you upload or create using the Service. We do not claim ownership of your content. By uploading documents, you grant us a limited, non-exclusive license to process and store your content solely for the purpose of providing the Service.

Our platform: The Segal Sign software, branding, user interface, and all associated intellectual property are owned by Segal Technology. You may not copy, reproduce, or distribute our platform or brand elements without written permission.

Feedback: Any suggestions or feedback you provide regarding the Service may be used by us freely without obligation to you.

9. Data Storage and Security

We store your documents and account data on servers located in Canada. We implement industry-standard security measures including encrypted data transmission (TLS), access controls, and regular security reviews.

You are responsible for the content of documents you upload and for ensuring you have the right to collect signatures from the individuals you invite. We are not responsible for the legal validity of the underlying agreements you execute through the Service.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service is provided "as is" and "as available." Free plan users are not entitled to any service level agreement (SLA). Paid plan users may contact support for assistance with service disruptions.

We may perform scheduled maintenance that temporarily restricts access to the Service, and will endeavor to provide advance notice where possible.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Segal Technology and its directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising from your use of or inability to use the Service.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to us in the twelve months preceding the claim, or $100 CAD if you are a free plan user.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In those jurisdictions, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Segal Technology and its officers, directors, employees, and agents from and against any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) documents you upload or signatures you collect through the Service; or (d) your violation of any third-party rights.

13. Termination of Service

You may terminate your account at any time by deleting it through account settings. We will retain your data for 30 days following account closure before permanent deletion, to allow for recovery if the deletion was unintentional.

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason we deem appropriate. We will endeavor to provide notice unless prohibited by law or immediate action is required to protect the Service or other users.

Upon termination, your right to use the Service ceases immediately. Sections 8, 11, 12, 14, and 15 survive termination.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. The courts of Alberta, Canada, shall have exclusive jurisdiction over any dispute arising from these Terms.

15. Dispute Resolution

Before initiating formal proceedings, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve any dispute within 30 days of receiving written notice.

If informal resolution fails, disputes shall be subject to binding arbitration in Calgary, Alberta, under the Arbitration Act (Alberta), except that either party may seek injunctive or other equitable relief in the courts of Alberta to protect intellectual property rights.

Class action waivers: To the extent permitted by law, you agree not to bring or participate in any class action or representative proceeding against Segal Technology.

16. Changes to Terms

We reserve the right to update these Terms at any time. We will notify users of material changes by email and by posting a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and close your account before the effective date.
